1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you", "your") and AI Asterion ("we", "us", "our"), the operator of Lexchk. By accessing or using the Lexchk website at lexchk.com, mobile application, or any related services (collectively, the "Service"), you agree to be bound by these Terms.

If you do not agree to these Terms, you must not use the Service.

These Terms are governed by the laws of the Republic of South Africa, including the Consumer Protection Act 68 of 2008 ("CPA"), the Electronic Communications and Transactions Act 25 of 2002 ("ECT Act"), and the Protection of Personal Information Act 4 of 2013 ("POPIA").

2. Description of Service

Lexchk is an AI-powered legal document analysis tool that:

• Analyses contracts, agreements, and other legal documents you submit
• Identifies potential risks, obligations, and clauses of concern
• Provides a risk rating and summary findings
• Offers suggestions for areas to discuss with a legal professional

The Service is designed to help individuals quickly understand the key points and potential risks in legal documents before signing. It is a decision-support tool, not a substitute for professional legal counsel.

3. Not Legal Advice

You acknowledge and agree that:

• AI analysis may contain errors, omissions, or inaccuracies
• Legal interpretation depends on jurisdiction, context, and specific circumstances that AI cannot fully assess
• You should not rely solely on Lexchk's output when making legally binding decisions
• You should seek independent legal advice from a qualified attorney or advocate before signing any legal document
• AI Asterion, its employees, and its affiliates are not responsible for decisions made based on the Service's output

4. Accounts and Registration

To access certain features of the Service, you must create an account using Google or Microsoft sign-in. You agree to:

• Provide accurate and current information
• Maintain the security of your account credentials
• Accept responsibility for all activity under your account
• Notify us immediately of any unauthorised use

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

5. Free and Premium Plans

5.1 Free Tier

The free tier provides:

• A limited number of document checks (currently 3 checks)
• Preview-level analysis showing a summary and limited findings
• We may adjust free tier limits at any time

5.2 Premium Subscription

The Premium subscription provides:

• Unlimited document checks
• Full analysis with all findings, risk details, and recommendations
• Downloadable PDF reports
• Market comparison insights (where available)

5.3 One-Time Purchases

You may also unlock individual document analyses or reports on a per-document basis without a subscription.

6. Pricing and Payment

All prices are displayed in US Dollars (USD) unless otherwise stated. Payment is processed securely by Stripe, Inc.

• Subscriptions are billed monthly and renew automatically until cancelled
• One-time purchases are non-refundable once the analysis has been delivered
• We reserve the right to change pricing with 30 days' notice to existing subscribers
• All prices include applicable taxes unless otherwise stated

6.1 Cancellation

You may cancel your Premium subscription at any time from the Account page. Upon cancellation:

• Your premium access continues until the end of the current billing period
• You retain access to full reports for documents analysed while subscribed
• New document reviews after the billing period ends will revert to free-tier (limited insights)
• No partial refunds are provided for unused portions of a billing period

6.2 Refunds

In accordance with the CPA, you may request a refund within 5 business days of a subscription payment if you have not used the Service during that billing period. To request a refund, contact legal@lexchk.com.

7. Acceptable Use

You agree not to:

• Submit documents containing malware, viruses, or malicious content
• Use the Service to process documents for illegal purposes
• Attempt to reverse-engineer, decompile, or disassemble the Service
• Use automated tools to scrape, crawl, or overload the Service
• Share, resell, or sublicense your account access to third parties
• Circumvent rate limits, paywalls, or access controls
• Submit documents you are not authorised to share or analyse

8. Intellectual Property

• Your documents: You retain all rights to documents you submit. We do not claim ownership of your content.
• Analysis output: The analysis, findings, and reports generated by Lexchk are provided to you for your personal use. You may share or use these outputs as you see fit.
• Our Service: The Lexchk brand, logo, software, and underlying technology are the intellectual property of AI Asterion. You may not copy, modify, or distribute our Service.

9. Data Privacy

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which forms part of these Terms. By using the Service, you consent to the practices described in the Privacy Policy.

10. Limitation of Liability

To the maximum extent permitted by South African law:

• The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied
• We do not warrant that the AI analysis will be accurate, complete, or error-free
• We are not liable for any direct, indirect, incidental, special, or consequential damages arising from your use of the Service or reliance on its output
• Our total liability for any claim related to the Service shall not exceed the amount you paid to us in the 12 months preceding the claim
• Nothing in these Terms excludes liability that cannot be excluded under South African law, including liability under the CPA for defective services

11. Indemnification

You agree to indemnify and hold harmless AI Asterion, its directors, employees, and affiliates from any claims, losses, or damages (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Documents you submit to the Service

12. Account Deletion

You may delete your account at any time from the Account page. Upon deletion:

• All your personal information, document analyses, findings, and purchase history will be permanently erased
• Any active subscription will be cancelled immediately
• This action is irreversible

13. Modifications to Terms

We may update these Terms from time to time. We will notify you of material changes by updating the effective date at the top of this page and, where practicable, by email or in-app notification. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

14. Governing Law and Disputes

These Terms are governed by the laws of the Republic of South Africa. Any dispute arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of the Republic of South Africa.

Where applicable, disputes may first be referred to alternative dispute resolution in accordance with the CPA.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
